These Terms & Conditions (“Terms”) govern the supply of goods by FOODSTORY LIMITED (“Foodstory”, “we”, “us”, “our”) to you (“you”, “Customer”) via our wholesale website (the “Site”). By creating an account, placing an order, or purchasing from us, you agree to these Terms.

2) Wholesale customers only
This Site and our wholesale services are provided for business customers only. By placing an order, you confirm you are acting in the course of business and have authority to bind the business you represent. We do not sell to consumers via this Site.
3) Account registration and security
You may need an approved account to access wholesale purchasing.
You must provide accurate, complete, and up-to-date information and keep login details confidential.
You are responsible for all activity under your account.
We may suspend or close accounts where we reasonably suspect misuse, fraud, non-payment, or breach of these Terms.
4) Products and descriptions
Product images are for illustration only. Because items are handmade, appearance may vary between batches.
We may update product ranges, recipes, pack sizes, and specifications from time to time.
Where we offer “free from” options (including gluten-free), please read the Allergens section carefully.
5) Pricing and payment
Pricing
All prices are shown in GBP (£).
Prices are not subject to VAT.
We may change prices at any time, but the price charged will be the price confirmed when your order is accepted.
Payment
Payments are processed securely via Square. We do not store full card details on our servers.
Unless we agree otherwise in writing, payment is due at checkout.
Failed or reversed payment
If a payment is reversed, fails, or is charged back, we may suspend your account and require payment in cleared funds before further supply.
6) Order process and acceptance
Placing an order is an offer to purchase goods.
An order is only accepted when we confirm acceptance (for example by order confirmation/dispatch confirmation).
We may refuse or cancel an order (in whole or part) if stock is unavailable, payment fails, pricing is incorrect due to error, or we reasonably suspect fraud/non-compliance.
7) Lead times, availability and substitutions
Any lead times shown are estimates and may vary.
If an item becomes unavailable, we may (at our option) offer a suitable substitute of equal or greater value, contact you for approval, or refund the affected item(s).
8) Delivery (in-house service) and collection
Delivery method
We deliver using our in-house delivery service (and may offer collection if stated on the Site).
Delivery dates and access
Delivery dates/times are estimates unless agreed in writing as guaranteed.
You must ensure someone is available to receive delivery and provide safe and reasonable access.
Risk and title
Risk (responsibility for loss or damage) passes to you upon delivery at the delivery address (or on collection).
Title (ownership) passes once we have received payment in full (unless credit terms are agreed in writing).
Failed delivery
If delivery fails due to your error (including incorrect address, no one available, or access issues), we may charge reasonable redelivery costs and/or treat the order as fulfilled for payment purposes, especially for perishable goods.
9) Perishable goods, quality checks and claims
Many of our goods are fresh and/or perishable.
You must inspect goods on delivery (or as soon as reasonably possible).
Any shortages, incorrect items, damage, or quality issues must be reported to us within 24 hours of delivery, with photographs where relevant.
We may ask you to retain goods and packaging for investigation.
If we agree goods are defective, incorrect, or short, our remedy (at our option) will be: replacement, credit note, or refund for the affected goods only.
We are not responsible for issues caused by improper storage, handling, freezing/defrosting, or display after delivery.
10) Cancellations and changes
Because goods are prepared fresh and may be made to order, cancellations and changes are limited.
You may request cancellation or changes up to 2 working days before the agreed delivery/collection date.
Requests made after this cut-off may not be possible and you may remain liable for payment.
We may cancel an order if events outside our reasonable control prevent fulfilment (see Force Majeure). If so, we will refund any amounts paid for undelivered items.
11) Allergens, “vegan”, and “gluten-free / free from” statements
Vegan
Products described as vegan are made without animal-derived ingredients.
Gluten-free / free from
Where products are described as “gluten-free” or “free from” certain ingredients:
We take care in production, however we cannot guarantee the absence of trace allergens where allergens may be present in the wider production environment or supply chain.
If you require strict allergen controls for medical or certification reasons, you must contact us before ordering to confirm suitability.
Your responsibilities
You are responsible for:
reviewing product information we provide (including ingredient/allergen information where supplied)
ensuring safe handling, storage and display
providing accurate allergen information to your customers in line with applicable law

12) Intellectual property
All content on the Site (including branding, text, images and logos) is owned by or licensed to Foodstory. You may not use it for commercial purposes without our written permission.
13) Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
Subject to the above:
We are not liable for indirect or consequential losses (including loss of profit, loss of business, loss of goodwill).
Our total liability for any claim arising out of or in connection with an order is limited to the amount paid for the affected goods in that order.
14) Indemnity
You agree to indemnify us against losses arising from your misuse of goods, incorrect storage/handling, misrepresentation to end customers, or failure to provide legally required allergen/food information, except to the extent caused by our negligence.
15) Compliance and verification (KYC/AML)
We may request information to verify your business and prevent fraud. You agree to provide accurate information and cooperate with reasonable checks. We conduct KYC/AML checks internally and may suspend fulfilment if verification is incomplete or concerns arise.
16) Force majeure
We are not liable for failure or delay caused by events outside our reasonable control (including severe weather, transport disruption, supplier failure, power outage, or industrial action). Where this occurs, we will try to minimise impact and may cancel affected orders with a refund for undelivered items.
17) Changes to these Terms
We may update these Terms from time to time. The latest version will be posted on the Site and will apply to orders placed after the effective date shown above.
18) Governing law and jurisdiction
These Terms are governed by the laws of Scotland. The Scottish courts will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or any order.
